Terms and Conditions

Our general terms and conditions for services, consulting, and software development.

Scope

These General Terms and Conditions (GTC) apply to all business relationships between Nextise GmbH (hereinafter 'Contractor') and its customers (hereinafter 'Client').

1. Subject of the Contract

The subject of the contract is the provision of services in the fields of IT consulting, software development, AI implementation, and training. The exact scope of services results from the respective written offer or individual contract.

2. Conclusion of Contract

Offers from the Contractor are subject to change and non-binding. A contract is only concluded upon written order confirmation by the Contractor or upon commencement of service provision.

3. Service Provision

The Contractor provides its services according to generally accepted technical standards. It is entitled to use third parties (subcontractors) to fulfill its obligations.

4. Duties of the Client

The Client supports the Contractor in providing the contractual services by providing all necessary information, documents, and access in a timely manner and free of charge.

5. Remuneration and Payment Terms

The prices agreed in the offer apply. All prices are exclusive of statutory VAT. Unless otherwise agreed, invoices are payable within 14 days of the invoice date without deduction.

6. Liability

The Contractor is liable without limitation for intent and gross negligence. In cases of slight negligence, the Contractor is only liable for the breach of essential contractual obligations (cardinal duties), limited to the contract-typical, foreseeable damage.

7. Copyrights and Usage Rights

Unless otherwise agreed, the Client receives a simple, non-transferable usage right for the created work results for the contractually intended purpose. Copyrights remain with the Contractor.

8. Confidentiality

Both parties undertake to treat all business and trade secrets of the other party that become known during the cooperation as confidential and not to disclose them to third parties.

9. Final Provisions

The law of the Federal Republic of Germany applies. The place of jurisdiction for all disputes arising from the contractual relationship is Stuttgart, provided the Client is a merchant, a legal entity under public law, or a special fund under public law.
